Terms & ConditionsThe terms and conditions set out below represent a complete statement of the agreement between the parties and supersede all prior discussions, correspondence and representations. No other document or statement issued by Merrow Internet Services (hereinafter referred to as "Merrow") forms any agreement between Merrow and the recipient. This agreement is between Merrow and the customer and shall be deemed to come into force when Merrow issues an invoice to the customer or when the customer issues a purchase order to Merrow, whichever happens first. This agreement is made under the laws of England and Wales. These terms and conditions may not be varied except when a written notice is signed by Merrow. The acceptance of a purchase order by Merrow specifying different terms and conditions does not modify or supersede these terms and conditions. These terms and conditions are subject to change without notice and changes will apply to any order received or booking made after the date of the change.
Provision of TrainingSupply of equipment: It is the responsibility of the customer to provide suitable equipment and network services, as defined in the course description. If Merrow supplies customer equipment for a course an extra fee may be payable. This extra fee will be agreed in advance. Course fees: the course fee covers instruction and written course materials. It does not cover any other cost that may be incurred by the customer. Fees for online public courses: the fee for an online course is payable before the first day of the course or thirty days from the date of invoice, whichever is sooner. The booking become confirmed when the fee is paid in full. Until then, it is a conditional booking and can be cancelled without penalty by either party. Fees for offline public courses: The fee for an offline course is payable immediately. The course begins when the customer pays the fee and Merrow supplies the material. Merrow then provides the customer with tutorial support by email for thirty days for every day of full-time study specified in the course description: thirty days for a one-day course, sixty days for a two-day course and so on. Fees and payment terms for in-house courses will be agreed in writing in advance of the course running. Cancellation by customer: The customer may cancel a confirmed booking with a full refund no later than one month before the first day of the course. If a customer cancels the booking after that time or does not attend the booked course, the customer will be charged in full. Cancellation by supplier: Merrow reserves the right to cancel or reschedule a course. Merrow will endeavour to give booked participants as much notice as possible of any cancellation or rescheduling. If a course is cancelled or rescheduled, Merrow's liability will be limited to the refund of any fees paid in respect of the course. Merrow shall not be responsible for any consequential loss. Substitution: a qualified substitute will be allowed to attend a course in place of the person named in the booking. A qualified substitute will be allowed to act as instructor on a course in place of the person named in the course literature. Copyright/intellectual property: all copyrights and intellectual property rights in course materials provided as part of a course remain the sole property of Merrow. Unless agreed otherwise in advance, this condition also applies when Merrow produces course material to a customer's specification. Merrow may issue course materials electronically or on paper. For the purposes of study only, the participant in a course may store course materials issued electronically in a retrieval system and reproduce them. The participant is forbidden to pass the materials on to anybody else. Apart from the purposes of the participant's study, the course materials must not be stored in a retrieval system, or transmitted in any form or by any means, electronic, mechanical, photocopying, recording or otherwise, or translated into any language, without the prior written permission of Merrow. |
